These terms of use (the “ Terms of Use ‘) govern your use of Vibo and provide information about the Vibo service (the ‘ Service’), outlined below. When you use Vibo, including creating a Vibo  account or using the Service, which includes any of its products, features, apps, websites, services, technologies, and software, you agree to these Terms of Use unless we expressly state that different or additional terms apply.

Please read the following terms of use carefully and do pay attention to the respective definitions; if you do not fully understand and agree to all the following terms of use, or the privacy policy, please do not use the service. Your commencement of, or continued use of the service, or registration of your own account on Vibo means that you, receipt and sufficiency of the following terms and conditions is well acknowledged, agree to become a party to and to be bound by these terms of use.

Please read the following terms of use carefully and do pay attention to the respective definitions; if you do not fully understand and agree to all of the following terms and conditions, by selecting not clicking the ‘agree’ button, then you may not be able to register or log in your account on Vibo  or access the service in furtherance in any way. By clicking ‘agree’ button and logging in, you consent to be bound by the hereunder terms and conditions. This action creates an acknowledgement and consent that you become a party to these terms of use and agree to be bound by the following terms and conditions. Your continued use of the service means that you are of full awareness, sufficient knowledge and accepted and agreed to all the following terms and conditions.

The Vibo Service

We agree to provide you with the Vibo  Service. The Service includes all of the Vibo  products, features, applications, services, technologies, and software that we provide to advance Vibo 's mission: To bring you closer to the people and things you love. The Service is made up of the following aspects (the Service):

Intellectual Property: 

All information contained on the Platform, including but not limited to all designs, texts, images, articles, and other information, is protected under the laws. The user may not use, reproduce, distribute, modify, transmit, or publish any of the information or materials contained on the Platform without the prior written consent of the owner of such rights.

Copyright: 

The copyright of the materials and information contained on this Platform belongs to the company. The company provides the content included on the Platform as a service to the public and for informational purposes only. The user may be held legally accountable under the applicable laws if he or she violates any of the aforementioned terms. Any other use, including but not limited to extraction, publication, display, or transmission of the content of this Platform is prohibited. The user also agrees not to modify or delete any ownership notices downloaded from the Platform. 

Content: 

The user agrees to access and use the Platform  only for legitimate purposes. The user alone is responsible for knowing and complying with all laws, regulations, and rules related to their use of the Platform. By accessing the Platform, the user agrees to the following:

3-1 Not to misuse the Platform in any way. 

3-2 Not to impersonate others while using the Platform. 

3-3 Not to use the Platform  to commit a crime or to encourage others to commit any act that may constitute a crime.

3-4 Not to publish or transmit any illegal content, including content that includes racial discrimination, defamation, harassment, defamation, insult, obscene or immoral acts, or any other content that affects religion, systems, or public policies. 

3-5 Not to use the Platform  to download any content that includes viruses, files, programs, or tools that may modify or cause damage or hinder the operation of the Platform. 

3-6 Not to change, cause harm, or delete any content published on the Platform. 

3-7 Not to claim any relationship or representation of any other company, partnership, or other entity that is not legally authorized to claim such a relationship or representation. 

3-8 Not to publish or transmit any intrusive advertisements, promotional materials, or any other form of enticement. 

3-9 Not to infringe or publish any materials that violate intellectual property or other rights. 

3-10 Not to collect or store personal information about others. 

3-11 Advertisements for the sale or use of tobacco products and related tools or electronic cigarette advertisements, as well as advertisements that include the treatment of drug or alcohol addiction without obtaining written permission, should not be promoted. 

3-12 Advertisements for the sale or use of illegal drugs or drugs that are only available with a prescription should not be promoted.

3-13 Advertisements promoting the sale or use of weapons, ammunition, explosives, or ads related to weapon modifications are prohibited.

3-14 Advertisements promoting the sale or use of products or services targeting sexual and reproductive health for adults are prohibited. This includes ads using images of people in suggestive or provocative positions or engaging in sexually stimulating activities or those that incite excessive violence.

• Ads should not exploit crises, political or social issues for commercial purposes.

• The user/merchant acknowledges and agrees not to discriminate against customers who use the (Vibo) application. They are also committed to delivering products to customers at advertised prices, after applying any discounts specified in the program.

• If any user refuses to complete their examination or purchase process after all necessary materials have been prepared, they will be charged for the materials that cannot be reused before leaving the branch.

• The merchant bears full civil and criminal liability for violating the provisions of this paragraph or any errors in the information provided by them. They also release the company from any liability for any act performed by the merchant or their employees towards others or customers.

• The merchant acknowledges and agrees to place the company’s trademark or any intellectual property rights owned by the company in a visible location in their commercial premises and not to modify, obliterate, remove, conceal, or interfere with the company’s trademark in any way. They also agree to stop using it once this agreement ends.

• Advertisements should not contain profanity, grammatical errors, or correct punctuation marks. Symbols, numbers, and letters should be used appropriately, without any intention to deceive the review process of the ads we conduct.

• Advertisements should not include any discriminatory or offensive language against race, gender, religion, or ethnicity.

• It is not permissible to advertise the sale of body parts or bodily fluids.

• It is not permissible to advertise the use of vaccines or incite against the use of vaccines.

• It is not permissible to advertise the use of alcoholic beverages or online games and gambling that require the use of currency (including cash or virtual and digital currencies such as Bitcoin), or advertisements that promote trading in encrypted digital currencies or related products or services.

Your Access to and Use of Our Services

Your access to and use of the Services is subject to these Terms and all applicable laws and regulations. You may not:

• access or use the Services if you are not fully able and legally competent to agree to these Terms or are authorized to use the Services by your parent or legal guardian;

• make unauthorized copies, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works of the Services or any content included therein, including any files, tables or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied by the Services or any derivative works thereof;

• distribute, license, transfer, or sell, in whole or in part, any of the Services or any derivative works thereof

• market, rent or lease the Services for a fee or charge, or use the Services to advertise or perform any commercial solicitation;

• use the Services, without our express written consent, for any commercial or unauthorized purpose, including communicating or facilitating any commercial advertisement or solicitation or spamming;

• interfere with or attempt to interfere with the proper working of the Services, disrupt our Platform  or any networks connected to the Services, or bypass any measures we may use to prevent or restrict access to the Services;

• incorporate the Services or any portion thereof into any other program or product. In such case, we reserve the right to refuse service, terminate accounts or limit access to the Services in our sole discretion;

• use automated scripts to collect information from or otherwise interact with the Services;

• impersonate any person or entity, or falsely state or otherwise misrepresent you or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise make available emanates from the Services;

• intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

• use or attempt to use another’s account, service or system without authorisation from Vibo, or create a false identity on the Services;

• use the Services in a manner that may create a conflict of interest or undermine the purposes of the Services, such as trading reviews with other users or writing or soliciting fake reviews;

• use the Services to upload, transmit, distribute, store or otherwise make available in any way: files that contain viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;

• any unsolicited or unauthorized advertising, solicitations, promotional materials, ‘junk mail,’ ‘spam,’ ‘chain letters,’ ‘pyramid schemes,’ or any other prohibited form of solicitation;

• any private information of any third party, including addresses, phone numbers, email addresses, number and feature in the personal identity document (e.g., National Insurance numbers, passport numbers) or credit card numbers;

• any material which does or may infringe any copyright, trademark or other intellectual property or privacy rights of any other person;

• any material which is defamatory of any person, obscene, offensive, pornographic, hateful or inflammatory;

• any material that would constitute, encourage or provide instructions for a criminal offense, dangerous activities or self-harm;

• any material that is deliberately designed to provoke or antagonize people, especially trolling and bullying, or is intended to harass, harm, hurt, scare, distress, embarrass or upset people;

• any material that contains a threat of any kind, including threats of physical violence;

• any material that is racist or discriminatory, including discrimination on the basis of someone’s race, religion, age, gender, disability or sexuality;

• any answers, responses, comments, opinions, analysis or recommendations that you are not properly licensed or otherwise qualified to provide; or

• material that, in the sole judgment of Vibo, is objectionable or which restricts or inhibits any other person from using the Services, or which may expose Vibo, the Services or its users to any harm or liability of any type.

We reserve the right, at any time and without prior notice, to remove or disable access to content at our discretion for any reason or no reason. Some of the reasons we may remove or disable access to content may include finding the content objectionable, in violation of these Terms or otherwise harmful to the Services or our users. Our automated systems analyze your content (including emails) to provide you personally relevant product features, such as customized search results, tailored advertising, and spam and malware detection. This analysis occurs as the content is sent, received, and when it is stored.

Termination of Use:

The company has the right, in its sole discretion, to terminate or suspend the use of the Platform  without prior notice for any reason, including any violation of the terms of use or any action that conflicts with the Platform, violates public morals, or is considered by the company to be illegal or harmful to others. In the event of termination, the user will not be able to access the Platform  and the company will use all means to prevent access to the Platform.

Disclaimer: 

The company does not provide any commitments or guarantees regarding the materials and information contained on the Platform, and the user’s use of the Platform  is solely the responsibility of the user. The purpose of the Platform  is to provide general information and for informational purposes only, despite the company’s attempts to provide accurate information. The company assumes no responsibility for any errors or omissions in the content of the Platform  or for the obligation to update this information. The sole compensation for the user for matters related to the use or materials contained in the Platform  is to discontinue the use of the Platform  and not use the information or materials obtained. Both the user and the company agree that the company is not responsible for any damages related to the user’s use or reliance on the Platform  or any of its contents. Please note the following when using the Platform:

5-1 The company does not provide any commitments to update the Platform. The product and other information, including prices, availability, and promotions, are subject to change without notice. 

5-2 The company does not guarantee that the Platform will be free from errors, viruses, or other harmful components.

5-3 The company does not guarantee that the Platform  will be available at all times or that it will be accessible without interruption. The company may suspend or discontinue the Platform  at any time without notice.

The information on the Platform is for informational purposes only and not an offer to rent or buy: 

The information or advertisements on this Platform should not be interpreted as an offer to rent or buy or a means of attracting tenants. The user must understand that the information and advertisements displayed are the responsibility of the advertising company. The information provided on this Platform is for informational purposes only. 

In case you are unable to comply with these terms and conditions: 

Or if you fail to provide the required documents within the specified period from the date of your request to display the advertisement, any approval granted by the company shall be automatically void without any liability on the company. You accept and agree that this termination does not entitle you to claim damages, costs, or loss of opportunities, whether directly or indirectly or subsequent or otherwise, and release the company from all these obligations and claims. 

To release and limit liability: 

The user hereby waives, releases and to the maximum extent permitted by applicable law, waives any and all claims (including in particular all claims for actual, expected, consequential or punitive damages, as well as attorneys' fees and claims for interest, even if the company has been informed of the possibility of such damages) arising directly or indirectly from the user’s access to this Platform  (or inability to access) or use of any information or materials contained in this Platform. Without limiting the generality of the foregoing, all information on the Platform is provided to the user as is without any warranties, whether express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, ownership, or non-infringement. 

Fostering a positive, inclusive, and safe environment

We develop and use tools and offer resources to our community members that help to make their experiences positive and inclusive, including when we think they might need help. We also have teams and systems that work to combat abuse and violations of our Terms of Use and policies, as well as harmful and deceptive behavior. We use all the information we have — including your information — to try to keep our platform secure. We also may share information about misuse or harmful content with other Vibo Platforms Companies or law enforcement. Also, we may take additional or alternative appropriate actions, which may include removal of content, disabling of accounts, offering assistance if needed, or restricting access to certain features of the Vibo Service. Developing and using technologies that help us consistently serve our growing community

Organizing and analyzing information for our growing community is central to our Service. A big part of our Service is creating and using cutting-edge technologies that help us personalize, protect, and improve our Service on an incredibly large scale for a broad global community. Technologies like artificial intelligence and machine learning give us the power to apply complex processes across our Service. Automated technologies also help us ensure the functionality and integrity of our Service.

Providing consistent and seamless experiences across other Vibo Platforms Inc. Products

Vibo is part of the Vibo Platforms Inc. , which share technology, systems, insights, and information-including the information we have about you (learn more in the Data Policy) in order to provide services that are better, safer, and more secure. We also provide ways to interact across the Vibo Platforms Inc. Products that you use, and designed systems to achieve a seamless and consistent experience across the Vibo Platforms Inc. Company Products.

Ensuring a stable global infrastructure for our Service

To provide our global Service, we must store and transfer data across our systems around the world, including outside of your country of residence. This infrastructure may be owned or operated by Vibo Platforms Inc. , or their affiliates. (Learn more in the Data Policy)

Connecting you with brands, products, and services in ways you care about

We use data from Vibo and other Vibo Platforms Inc.  Products, as well as from third-party partners, to show you ads, offers, and other sponsored content that we believe will be meaningful to you based on information obtained directly or indirectly from you or from your behavior on Vibo.

Research and innovation

We use the information we have obtained to study our Service and collaborate with others on research to make our Service better and contribute to the well-being of our community.

The Data Policy

Providing our Service requires collecting and using your information. The Data Policy explains how we collect, use, and share information across the Vibo Platforms Inc. Products. It also explains the many ways you can control your information, including in the Vibo  Privacy and Security Settings. You must agree to the Data Policy to use Vibo  including creating a Vibo  account or using the Vibo  Service.

Your Commitments

In return for our commitment to provide the Service, we require you to make the below commitments to us.

Who Can Use Vibo 

We want our Service to be as open and inclusive as possible, but we also want it to be safe, secure, and in accordance with the law. So, we need you to commit to the below few restrictions in order to be part of the Vibo community:

You must be at least 13 years old or the minimum legal age in your country to use Vibo. However, if you are under 18 years of age, you are to obtain the prior consent of your guardian prior to using Vibo and its Services;

You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in payments related to the Services if you are on an applicable denied party listing;

We must not have previously disabled your account for violation of law or any of our policies;

You must be an eligible person. For the purposes of these Terms of Use, an eligible person shall mean a person that：

(1) has not been convicted, indicted or subjected to any similar criminal sanction, by any court or governmental body of competent jurisdiction, for engaging in money laundering or financing of terrorism or any Objectionable Practice; and

(2) is not included in any list (as updated from time to time) of sanctioned Persons promulgated by, among others

The United Nations Security Council or its committees pursuant to Security Council Resolutions 1267 (1999), 1373 (2001) or related or successor resolutions in connection with money laundering or financing of terrorism matters (reference being made to www.un.org/terrorism);

The World Bank (including the World Bank Listing of Ineligible Firms & Individuals from time to time);

Persons, groups, and entities to which the Council of the European Union Common Position 2001/931/CFSP on the application of specific measures to combat terrorism applies;

The European Union consolidated list of persons, groups, and entities subject to financial sanctions issued pursuant to the Common Foreign and Security Policy of the European Union; or SDN lists of the Office of Foreign Assets Control (OFAC).

You must not be a convicted sex offender.

Virtual items

We offer virtual items for purchase, including Coins and Gifts, which you can send to other users or receive with monetary value. If you’re 18 or older (or the age of majority in your jurisdiction), you can also earn virtual Diamonds and withdraw them.

When purchasing Coins, the price will be displayed at the point of purchase, and all charges and payments will be made in the specified currency through the relevant payment mechanism. Currency exchange settlements, foreign transaction fees, and payment channel fees, if any, are subject to your agreement with the applicable payment provider.

Please note that you are responsible for the payment of any Coins you purchase, and once the purchase is complete, the Coins will be credited to your user account. Coins can be used to buy gifts but can not be exchanged for cash or any other form of credit. Additionally, Coins can only be used on Vibo and as part of our services, and can not be combined with other promotions, coupons, discounts, or special offers, except those designated by us.

All sales of Coins and Gifts are final, and we do not offer refunds for any purchased Coins and Gifts, except as otherwise stated in this Agreement. Coins and Gifts cannot be converted or exchanged for cash, or refunded or reimbursed by us for any reason.

Payment Terms

We accept major credit cards, certain debit cards, and other payment methods we make available on our site as forms of payment. You must comply with all the terms and conditions of the payment method you choose. When you place an order through our Service, you authorize us or our designated payment processor to charge the account you provide for the purchase amount. All payments must be made in United States Dollars, unless we offer other currencies through the payment methods available on Vibo.

Our payment processing partners may require you to provide certain personal data, such as a valid government-issued ID, your legal name, address, and date of birth, to comply with applicable laws and regulations and facilitate payment through their financial institutions. They may also contact you directly regarding any payment-related issues.

If your payment is declined due to issues with your payment method, please ensure that all the data you provided is correct and resubmit your order. If your transaction is not accepted online, please contact our customer support team via the email address we provide you in connection with your purchase. How You May Not Use Vibo 

Providing a safe and open Service for a broad community requires that we all do our part. As such, you must take into consideration the following:

While you do not have to disclose your identity on Vibo, you must provide us with accurate and up to date information (including registration information). Additionally, you may not create an account for someone else unless you are his/her guardian or have their his/her express permission;

You agree that the sole purpose of registering on or using Service is to be a user to enjoy the Service provided by Vibo or any of our products, and you shall not use Service in any manner for any illegal purpose under the applicable law;

You shall not engage in any of the following activities:

Impersonate others or provide inaccurate information;

Do anything unlawful, misleading, or fraudulent or for an illegal or unauthorized purpose or assist anyone else to do any of the foregoing;

Violate (or help or encourage others to violate) these Terms of Use or any of our policies, including, but limited to, the Vibo Community Guidelines, Vibo  Platform Policy, and Music Guidelines;

Do anything to interfere with or impair the intended operation of the Service;

Attempt to create accounts or access or collect information in unauthorized ways. This includes creating accounts or collecting information in an automated way without our express permission;

Attempt to buy, sell, or transfer any aspect of your account (including your username) or solicit, collect, or use login credentials of other users;

Share private or confidential information of others or do anything that violates someone else’s rights, including any intellectual property rights. Learn more, including how to report content that you think infringes on your intellectual property rights, here;

Violate the generally acceptable moral and religious conduct of any jurisdiction;

Engage in Objectionable Practice. For the purposes of these Terms of Use, the following definitions shall apply:

Corrupt Practice means (a) the promising, offering, giving, making, authorizing, insisting on, receiving, accepting or soliciting, directly or indirectly, of any illegal or undue payment or advantage of any nature, to or by any person, with the intention to, or the knowledge that such payment or advantage may, directly or indirectly influence, whether as inducement or reward, the actions or decisions of any person, including causing any person to refrain from any action or decision; or (b) any action or omission which is prohibited in any applicable jurisdiction by law or regulation relating to bribery or corruption;

Illicit Origin means any origin which is illicit, criminal or fraudulent, including without limitation, corruption, Terrorist Financing, and tax evasion;

Money Laundering Activities means the process of moving funds of Illicit Origin through a cycle of transformation in order to create the end appearance of legitimately earned funds. The process of moving funds consists of providing, receiving or assisting in transfer of funds;

Objectionable Practice means any Corrupt Practice, Fraudulent Practice, Money Laundering Activities, Terrorist Financing, Sanctionable Practice or Obstructive Practice;

Obstructive Practice means (i) deliberately destroying, falsifying, altering or concealing evidence material to the assessment or the making of false statements to those performing the assessment, in order to materially impede an assessment of allegations of a Corrupt Practice, Fraudulent Practice, Money Laundering Activities, or Terrorist Financing and/or threatening, harassing or intimidating any party to prevent it from disclosing its knowledge of matters relevant to the assessment or from pursuing the assessment, or (ii) acts intended to materially impede the exercise of Vibo ’s access to contractually required information in connection with an assessment of allegations of a Corrupt Practice, Fraudulent Practice, Money Laundering Activities, or Terrorist Financing;

Sanctionable Practice means any business activity or transaction with any entity, individual or country which at or during the time of such business activity or transaction is included on the lists of sanctioned entities, individuals or countries published and updated from time to time by the Office of Foreign Assets Control of the US Department of Treasury (OFAC), the European Union or the United Nations;

Terrorist Financing means financing terrorists, terrorist acts and terrorist organizations.

Promote indecency, pornography, terrorism, and any form of radicalization;

Use a domain name or URL in your username without our prior written consent

Permissions You Give to Us

As part of our agreement, you also give us all the permissions that we need to provide our Service. As such, By using our service and agreeing to the Terms of Service, you agree and accept the following:

We do not claim ownership of your content, but you grant us a license to use such content

When you share your content on Vibo through video content, you own the rights to it. We do not claim ownership of any content you stream on our platform. However, please note that if you share content that is covered by intellectual property rights, such as photos or videos, you are giving us a non-exclusive, worldwide license to use, modify, distribute, and create derivative works of your content. This license is transferable, sub-licensable, and royalty-free. You can revoke this license by deleting your account.

You give us permission to use your username, profile picture, and information about your relationships and actions with accounts, ads, and sponsored content;

You give us permission to grant access to any person who has obtained your username, phone number, and password in the same manner as it would have granted access to you; and you shall be responsible for all activities conducted through your account in the name of you. You are solely responsible for maintaining secrecy and confidentiality of your account details including your username, mobile phone number, password and other information, if any; and, you are full aware that you are also sole responsible for the consequences of granting use by a third-party of your account, directly or indirectly;

You give us permission to show your username, profile picture, and information about your actions (such as likes) or relationships (such as the following) next to or in connection with accounts, ads, offers, and other sponsored content that you follow or engage with that are displayed on Vibo Platforms Inc.  Products, without any compensation to you. For example, we may show that you liked a sponsored post created by a brand that has paid us to display its ads on Vibo. As with actions on other content and follows of other accounts, actions on sponsored content and follows of sponsored accounts can be seen only by people who have permission to see that content or follow. We will also respect your ad settings.

You agree that we can download and install updates to the Service on your device.

Additional Rights We Retain

By using our service and agreeing to the Terms of Service, you agree and accept the following:

if you select a username or similar identifier for your account, we may change it if we believe it is appropriate or necessary (for example, if it infringes someone’s intellectual property or impersonates another user);

If you use content covered by intellectual property rights that we have and make available in our Service (for example, images, designs, videos, or sounds we provide that you share), we retain all rights to our content but not your content;

You can only use our intellectual property and trademarks or similar marks as expressly permitted by our Brand Guidelines or with our prior written permission;

You must obtain written permission from us or under an open-source license to modify, create derivative works of, decompile, or otherwise attempt to extract source code from us.

Content Removal and Disabling or Terminating Your Account

By using our service and agreeing to the Terms of Service, you agree and accept the following: we can remove any content or information you share on the Service at any time if we believe that it violates these Terms of Use, our policies (including our Vibo  Community Guidelines), or if we are permitted or required to do so by law;

We can refuse to provide or stop providing all or part of the Service to you (including terminating or disabling your account) immediately to protect our community or services, or if you create risk or legal exposure for us, violate these Terms of Use or our policies (including our Vibo Community Guidelines), if you repeatedly infringe other people’s intellectual property rights, or where we are permitted or required to do so by law. If we take actions to disable or terminate your account, we may notify you where appropriate. If you believe your account has been terminated in error, or you want to disable or permanently delete your account, you may inquire us using our Contact Us feedback channel;

Inactive Accounts

A user account is considered inactive if it has not been logged into for 40 days or more.

The application has the right to delete inactive accounts after 40 days of inactivity.

The user is not entitled to recover their account after it has been deleted. By using this application, you agree to these terms.

Our Agreement and What Happens if We Disagree Our Agreement

By using our service and agreeing to the Terms of Service, you agree and accept the following: your use of music on the Service is also subject to our Music Guidelines, and your use of our API is subject to our Platform Policy. If you use certain other features or related services, additional terms will be made available and will also become a part of our agreement. For example, if you use payment features, you will be asked to agree to the Community Payment Terms. If any of those terms conflict with this agreement, those other terms will govern;

If any aspect of this agreement is unenforceable, the rest will remain in effect;

Any amendment or waiver to our agreement must be in writing and signed by us. If we fail to enforce any aspect of this agreement, it will not be a waive;

We reserve all rights not expressly granted to you.

Who Has Rights Under this Agreement

By using our service and agreeing to the Terms of Service, you agree and accept the following:

The Terms of Use does not give rights to any third parties;

You cannot transfer your rights or obligations under this agreement without our consent;

Who Is Responsible if Something Happens

To the extent permitted by law, we also disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not control what people and others do or say, and we are not responsible for their (or your) actions or conduct (whether online or offline) or content (including unlawful or objectionable content);

We are not responsible for services and features offered by other people or companies, even if you access them through our Service;

For any Draw Program that may be instituted by a Vibo user, you agree to release, discharge, and hold harmless Vibo, its officers, directors, employees, or agencies, affiliates, service providers and internal service providers, advertising and promotion agencies, and other individuals engaged in the development or execution of the Draw Program from any liability, claims, losses, and damages arising out of or relating to their participation in the Draw Program or the acceptance, use, misuse, or possession of any prize received in the Draw Program. Vibo is not responsible for lost, late, stolen, incomplete, illegible, inaccurate, undelivered, delayed, or misdirected entries. We reserve the right, in our sole discretion, to modify or terminate the Draw Program for any reason that we believe would corrupt the integrity, administration, or fairness of the Draw Program.

Our responsibility for anything that happens on the Service (also called ‘liability’) is limited as much as the law will allow. If there is an issue with our Service, we may not know what all the possible impacts might be. You agree that we shall not be responsible or liable for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we know they are possible. This includes when we delete your information, or account;

In no event shall Vibo, its officers, directors, employees, or agencies, affiliates, service providers and internal service providers be liable for any direct, indirect, incidental, punitive, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses arising (in any manner whatsoever) out of or in connection with (i) errors, mistakes, omissions, or inaccuracies in the Service; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Service; (iii) any unauthorized access to your secure servers and/or all personal information therein; (iv) any interruption or cessation of use or Service; (v) any bugs, virus, trojan horses, or the like, which may transmitted to or through our servers by any third party; (vi) any loss or damage incurred as a result of your use of the Services; or (vii) any delay, failure, interruption or errors in connection with the Service, whether based on warranties, contracts, torts, or any other legal theory, and whether or not we are advised of the possibility of such damages. The limitation of liability under this provision shall apply to the full extent permitted by the applicable laws in any jurisdiction.

How We Will Handle Disputes

This Terms of Use is governed by American law.

Any dispute arising out of or in connection with this Terms of Use including a dispute regarding the existence, validity or termination or relating to any non-contractual or other obligation or matter arising out of or in connection with this Terms of Use or the consequences of its nullity (a ‘Dispute’) shall be referred to arbitration in accordance with the arbitration rules of the Wyoming Court of International Arbitration. The seat and venue of the arbitration shall be Wyoming. The arbitration shall be conducted by one arbitrator.

The arbitration shall be conducted by one arbitrator to be appointed by agreement between the parties or, if no agreement is reached within 10 Business Days of a party proposing an arbitrator to the other party in writing, such arbitrator as shall be determined by the Wyoming Court of International Arbitration on written request by either party.

Unsolicited Material

We always appreciate feedback or other suggestions. However, we may use them without any restrictions or obligation to compensate you for them and are under no obligation to keep them confidential.

User Indemnity

You agree to defend, indemnify, and hold harmless, Vibo, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, attorneys and employees from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out or relating to:

Failure to comply or breach by you or any user of your account of these Terms of Use, the Privacy Policy, or any other policies or guidelines related to the Services or arising out of a breach of your obligations, representation and warranties under these Terms of Use;

The determination by in any jurisdiction that you have improperly utilized the Services to violate the laws and regulations of such jurisdiction;

Your supplying inaccurate, out of date, errors or omissions, or otherwise incorrect information in relation to your use of the Service;

Claims made by any third party due to or arising out of the user’s acts or omissions, including claims arising out of that user’s use of the Services or the user’s submission, posting or transmission of content or his or her violation of the Terms of Use;

The violation of any rights of any third party, including intellectual property, privacy, publicity, or other proprietary rights by you or anyone using your account. Vibo  reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the user. If we do assume the defense of such a matter, you will reasonably cooperate with Vibo in such defense.

Updating These Terms

We may change our Service and policies at any time at our sole discretion, and we may need to make changes to these Terms of Use so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for example, through our Service) before we make changes to these Terms of Use and give you an opportunity to review them before they go into effect.
